Terms of Service Agreement
What we do
The Icewolf Platform Terms of Service outline the rights and responsibilities of both Icewolf and the user in relation to the online website, blogs, custom pages, and other services provided by Icewolf. By accepting these terms, the user also agrees to the terms of the Icewolf Platform. The Icewolf Hosting Services, including the website, blogs, custom pages, and other services, are collectively referred to as the "Icewolf Hosting Services" in these terms. It is important for users to carefully review the Icewolf Platform Terms before using the Icewolf Hosting Services.
Just Hosting
Icewolf will provide support for bug and error fixes on the blueprints, templates, and designs used to build your website. This support includes the SSL certificate for your website and the ICEWOLF Content Management System. However, hosting does not include regular updates to website content, new pages, designs, or new solutions. If updates to your website are needed, Icewolf will provide these services for a fee of $200, with an additional $200 charge for urgent change requests. It is important to note that regular updates to your website and new solutions are not included in the hosting services provided by Icewolf.
Managed hosting
Icewolf will provide updates to your website upon request. It is the responsibility of the client to provide the necessary content for any changes. The maximum wait time for changes to be made is 1-2 weeks. In the case of urgent requests, a fee of $200 may be applied, depending on the timing of the request. For example, requests made outside of Icewolf's business hours or for immediate changes may incur this additional fee. It is important to note that regular updates to website content and new solutions are not included in the hosting services provided by Icewolf.
Alpha Agreement
By utilising the Icewolf Website Builder in its alpha phase, you agree to the following terms:
Acknowledgment of Alpha Status: You understand that the Icewolf Website Builder is still in development and, as such, may exhibit performance issues, errors, or other unforeseen bugs that could affect your experience.
Expectation Management: While websites hosted on Icewolf are fully operational and exhibit strong stability, the Builder itself is intricately evolving with ongoing updates and refinements.
Solo Development: You recognize that this journey is being undertaken by a solo developer located in Brisbane, Australia. Although we may not possess the expansive resources of larger web companies, our commitment to quality and customer satisfaction remains paramount.
Reporting Issues: You are encouraged to actively report any issues encountered during your use of the Website Builder. Your feedback is vital to development progress and overall improvements to the platform.
Discretionary Support: Given the platform's alpha status, user support may be limited, though we strive to provide assistance whenever possible. Patience and understanding are appreciated as we navigate through these developmental stages.
Updates and Changes: Icewolf reserves the right to modify, change, update, or discontinue any part of the Website Builder without prior notice. Regular updates can be expected as part of the development process.
No Warranty: The alpha phase Website Builder is offered 'as is' and without any warranties. Use of the service is at your own risk. Icewolf does not warrant that the alpha version of the Builder will meet specific requirements or be error-free.
Data Integrity: While we endeavor to safeguard your data, Icewolf cannot guarantee complete data integrity during the alpha phase. We recommend keeping independent backups of your website content.
Limited Liability: Icewolf shall not be liable for any damages or loss resulting from the use or inability to use the Website Builder.
Your Responsibility
As an alpha user, you are a crucial part of Icewolf's development journey. It is your responsibility to ensure that your content complies with legal standards and respects the intellectual property of others.
Security
Icewolf maintains appropriate technical, administrative, and physical safeguards to protect the personal information of its clients and their customers that is stored on its servers. These measures are designed to prevent accidental loss, unauthorized access, or modification of personal information. However, Icewolf cannot guarantee that unauthorized third parties will never be able to defeat these measures and use personal information for improper purposes. It is important to note that while Icewolf takes steps to protect personal information, it cannot guarantee the complete security of this information.
There are several actions that individuals can take to help protect their personal information and prevent unauthorized access to their accounts. These may include using strong, unique passwords for each account, enabling two-factor authentication (2-Auth) for added security, and using a password management tool to securely store and manage passwords. Some examples of password management tools include Keeper, 1Password, and LastPass. By taking these steps, individuals can help to protect their personal information and prevent unauthorized access to their accounts.
Audit Right
If Icewolf believes that a security breach, personal data breach, or other compromise of data or system has occurred, it may require you to have an Icewolf-approved third-party auditor conduct a security audit of your systems and facilities. The results of this audit must be reported to Icewolf, and at Icewolf's discretion, to the payment processor, financial services provider, payment networks, and law enforcement. This audit will be at your cost and expense. It is important to note that if Icewolf determines that a security breach has occurred, you may be required to take additional steps to address the issue and protect personal information.
Privacy
Icewolf takes data privacy and data protection seriously and is committed to protecting the personal information of its clients and their customers. By agreeing to these terms, you acknowledge that you have received, read, and agree to the terms of Icewolf's Privacy Policy, Data Processing Appendix, and the payment processor's Privacy Policy. These documents contain important information about the collection, use, retention, and disclosure of personal information, as well as other important matters. You agree that Icewolf and the payment processor have the right to modify their privacy policies if necessary, and you will check these policies on a regular basis. It is important to carefully review and understand these documents to ensure that you are aware of how your personal information will be handled by Icewolf and the payment processor.
Termination
You may terminate this Agreement by closing your Icewolf Hosting Account at any time by following the instructions in your Icewolf Admin. We may terminate this Agreement and close your Icewolf Hosting Account at any time, for any reason, upon notice to you in accordance. Excludes the Free website agreement / contract and/or other service ofter under agreement / contract with Icewolf
Effects of termination
Upon termination and closing of your Icewolf Hosting Account, we will immediately discontinue your access to the Hosting Services. You agree to complete all pending Transactions. You will not be refunded the remainder of any Fees that you have paid for the Hosting Services if your access to or use of the Payments Services is terminated or suspended. Any funds in the Financial Services Provider’s custody will be paid out to you subject to the terms of your Payout Schedule (as defined in the Processor Terms).
Termination does not relieve you of your obligations as defined in this Agreement, and the Processor may elect to continue to hold any funds deemed necessary, pending resolution of any other terms or obligations defined in this Agreement, including, but not limited to, chargebacks, fees, refunds, or other investigations or proceedings.
Termination of this Agreement will not necessarily terminate your Icewolf Hosting Terms, unless Icewolf determines otherwise. We reserve the right (but have no obligation) to delete all of your information and account data stored on our servers. We will not be liable to you for compensation, reimbursement, or damages in connection with your use of the Hosting Services, or any termination or suspension of the Hosting Services, or deletion of your information or account data; and that you will still be liable to us for any fees or fines, or other financial obligation incurred by you or through your use of the Hosting Services prior to termination.
More Legal
Ownership The Hosting Services are licensed and not sold. We reserve all rights not expressly granted to you in this Agreement. The Hosting Services are protected by copyright, trade secret, and other intellectual property laws. We own the title, copyright, and other worldwide Intellectual Property Rights (as defined below) in the Payments Services and all copies of the Payments Services. This Agreement does not grant you any rights to our trademarks or service marks.
For the purposes of this Agreement, “Intellectual Property Rights" means all patent rights, copyright rights, mask work rights, moral rights, rights of publicity, trademark, trade dress and service mark rights, goodwill, trade secret rights and other intellectual property rights as may now exist or hereafter come into existence, and all applications therefore and registrations, renewals and extensions thereof, under the laws of any state, country, territory or other jurisdiction.
You may choose to, or we may invite you to submit comments or ideas about the Hosting Services, including, without limitation, about how to improve the Hosting Services or our products (“Ideas”). By submitting any Idea you agree that your disclosure is gratuitous, unsolicited and without restriction, and will not place us under any fiduciary or other obligation and that we are free to use the Idea without any additional compensation to you, and/or to disclose the Idea on a non-confidential basis or otherwise to anyone. You further acknowledge that, by acceptance of your submission, we do not waive any rights to use similar or related ideas previously known to us, or developed by our employees, or obtained from sources other than you.
Your Liability and Indemnification Concerning Liabilities Nothing in this Agreement shall serve to diminish your liability under the Icewolf Hosting Terms. You are obliged to fulfill your obligations under this Agreement and those under the Icewolf Hosting Terms
